Changes to the Emmaus Community Bylaws

Article I.          No Change

Article II.         Name and address of the principal office needs to be change to the following:
                        Sharon Thompson, 105 Cedarwood Ave., Branson, Mo. 65616

Article III.         No Change

Article IV.         This will be a new article.   It's entitled "Conduct of Business." All subsequent articles will be
                         renumbered by adding one.

                           Article IV states that the SMTW Board and Community may make use of electronic
                           means for conducting board business, notifications, elections, voting, and accepting electronic
                           responses.

Article V.         "Membership" Proposed wording:
                         Section 1:         All persons who have completed The Show Me the Way weekend experience of the Walk to Emmaus, or
                                                  who have completed a Walk to Emmaus or any other 72 hour weekend recognized by The Upper Walk may
                                                  become members by participating the activities of Community.

                         Section 2:           Eliminate

Article VI.         "Board of Directors"
                         Section 2:         "Composition" Add the word "elected" before the word "clergy"

Article VII.         "Termination of Office" and Section 5 "Filling Vacancies:
                          Section 4.         "Termination of Office" Any officer appointed by the Board of Directors or any Board member elected
                                                                            by the community may be removed by the Board of Directors whenever in its judgment,
                                                                           the best interest of the corporation would be served. Such removal shall be without prejudice
                                                                           to the contract rights, of any, of the officer or board members so removed. Any Board Director
                                                                           who has two (2) unexcused absences from Board meetings shall be removed from the Board,
                                                                           following written notice to the Board Director. Votes for removal shall be by simple majority of
                                                                           board members present.

                           Section 5.         "Filling Vacancies" A vacancy in any office because of death, resignation, removal disqualification, or otherwise,
                                                                            may be filled by the Board of Directors for the remainder of the current fiscal year and such
                                                                            appointee shall be eligible for election the following year to the remainder of a three -year term.

Article VIII.         "Meetings" The Emmaus Board will meet at least 6 times a year. The time and date of these
                                meetings are to be determined by the Board.
                                Section 2.         A simple majority of the full board of directors must be present at a duly called
                                                   meeting to constitute a quorum.
                                Section 3.         Special board meetings may be called by the chair or when requesting in writing by
                                                    a simple majority of the full board.
Article IX.          "Committees" The Board of Directors shall name Board members to chair the following committees: Registrar, Agape,
                           Communications, Sponsor's Hour/Candlelight, Prayer, Facility Set /Transportation,
                           Music/Entertainment, Supplies, Group Reunions/Gatherings, Kitchen, Team Selection/Training.
                           The Chair of the Board will be an ex-official member of all standing committees.

Article IX :        "Walk to Emmaus renumber to Article X

Article X         "Amendments" renumber to article XI; combine Sections 2 and 3:
                         Move all the wording in present Section 3 to the end of Section 2, combining wording in present
                         Section 3 with wording in Section 2, and eliminating Section 3.
